Taking the drone industry to new heights

Unusual Machines is focused on bringing together great teams, valuable IP, and high-quality brands, in order to become a leader within the highly fragmented drone industry.

Our First Acquisition

On November 21, 2022, Unusual Machines entered into a Share Purchase Agreement (the “Purchase Agreement”) with Red Cat Holdings, Inc. (“Red Cat”) and Jeffrey Thompson, the founder and Chief Executive Officer of Red Cat, pursuant to which we agreed to purchase Red Cat’s consumer business consisting of Fat Shark Holdings, Ltd (“Fat Shark”) and Rotor Riot, LLC (“Rotor Riot”). Fat Shark and Rotor Riot are in the business of designing and marketing consumer drones and first-person-view (“FPV”) goggles. Rotor Riot is also a licensed authorized reseller of consumer drones manufactured by third-parties. Under the terms of the Purchase Agreement, upon satisfaction of closing conditions including the affirmative vote of the shareholders of Red Cat, Unusual Machines agreed to purchase from Red Cat its Fat Shark and Rotor Riot subsidiaries for $20 million in a combination of cash, a promissory note, and issuance of our Common Stock. However, there can be no assurance that the transaction will close, or that if it does the Company will be successful in integrating the acquired businesses or their personnel into its business.
